Acceptance of Terms

By engaging Pinnacle SRED Consulting's services, you agree to these Terms of Service. If you do not agree, please do not use our services.

Services Provided

Pinnacle SRED Consulting provides SR&ED tax credit consulting services, including eligibility assessment, claim preparation, technical documentation, CRA correspondence support, and audit assistance. Our services are advisory in nature and do not constitute legal or accounting advice.

Client Responsibilities

Clients must provide accurate, complete, and timely information necessary for claim preparation. You are responsible for the accuracy of all technical and financial data provided. You must inform us immediately of any material changes to submitted information.

Fees and Payment

Fees are established by written agreement and may be structured as flat fees, hourly rates, or contingency-based on recovered credits. Payment terms will be specified in your engagement letter. Late payments may incur interest charges at 2% per month.

No Guarantee of Results

While we strive to maximize your SR&ED benefits, we cannot guarantee specific outcomes, credit amounts, or CRA approval. SR&ED claims are subject to CRA review and interpretation of program guidelines.

Confidentiality

We maintain strict confidentiality of all client information in accordance with professional standards and our Privacy Policy. This obligation continues after the termination of services.

Professional Standards

Our services comply with CRA guidelines and professional consulting standards. We reserve the right to decline or withdraw from engagements that present conflicts of interest or ethical concerns.

Limitation of Liability

Our liability is limited to the fees paid for services related to any claim. We are not liable for indirect, consequential, or incidental damages, including lost profits or business opportunities. This limitation applies to the fullest extent permitted by law.

Term and Termination

Either party may terminate the engagement with written notice. You remain responsible for fees for services rendered up to the termination date. Upon termination, we will return your original documents but may retain copies for our records.

Intellectual Property

All methodologies, templates, and work product created by Pinnacle SRED Consulting remain our intellectual property. Clients receive a license to use deliverables for their intended purpose but may not reproduce or distribute our proprietary materials.

Dispute Resolution

Any disputes will be governed by Ontario law and resolved through negotiation in good faith. If negotiation fails, disputes will be submitted to binding arbitration in Waterloo, Ontario, before proceeding to litigation.

CRA Representation

If we represent you in CRA communications, audits, or reviews, specific terms will be outlined in a separate engagement letter. Our representation is limited to SR&ED matters unless otherwise agreed.

Indemnification

You agree to indemnify Pinnacle SRED Consulting against claims arising from inaccurate information you provide, your failure to disclose material facts, or your misuse of our services.

Modifications

We reserve the right to modify these Terms of Service with notice to existing clients. Continued use of services after modification constitutes acceptance of updated terms.

Severability

If any provision of these terms is found unenforceable, the remaining provisions continue in full effect.

Entire Agreement

These Terms of Service, together with your engagement letter and our Privacy Policy, constitute the entire agreement between parties regarding our services.
